Purpose
The purpose of this contract is to regulate the collaboration between the Recruitment Agency and the Company in relation to the recruitment of candidates for the Company.
Services
The Recruitment Agency commits to:
Identifying and presenting qualified candidates to the Company.
Conducting an initial screening of candidates based on the Company's criteria.
Managing communication between candidates and the Company during the initial phase.
Definitions
"Candidate" refers to an individual identified by SunRecruit as a potential employee for the Company. "Recruitment Process" covers all activities related to identifying, screening, and presenting candidates.
The Company commits to:
Providing clear recruitment requirements and job descriptions.
Conducting interviews and providing feedback on presented candidates.
Handling candidate information in compliance with applicable laws.
Candidate Acceptance
The Company commits to informing SunRecruit in writing when a candidate accepts a position. This notification must be sent within 5 business days of the candidate's acceptance, after which invoicing will be initiated according to the agreed payment terms.
Ownership Transfer
If a candidate presented by SunRecruit is hired by the Company within 12 months from the presentation date, the Company is still obligated to pay the agreed recruitment fee.
Fees and Payment
The Recruitment Agency will receive a fee of [Agreed Amount] per hired candidate.
Recruitment Model and Pricing
Fixed price – The pre-agreed price for the recruitment process is 10% of the candidate's gross annual salary + VAT. "Fixed price" means the pre-agreed payment for recruitment services as described in the agreement.
Failed Recruitment Obligations
If a candidate leaves their position within the first 30 days, SunRecruit commits to conducting a replacement recruitment at no additional cost to the Company.
If the candidate leaves the position within 60 days, a new recruitment can be conducted for a reduced fee of 25% of the original recruitment price.
The Company must inform SunRecruit of the reason for the candidate leaving the job or the Company terminating the candidate.
Recruitment Process Includes:
Assessing the Company's needs and requirements for the new employee.
Preparing a job description, including responsibilities and qualifications.
Candidate sourcing through job portals, social media, internal networks, and direct contact (headhunting).
Screening applications to select the most qualified candidates.
Interview process:
Telephone/video interviews for an initial assessment.
Personal interviews for a deeper evaluation.
Competency-based tests to assess candidate skills.
General Terms
Payment Terms:
Invoices will be issued as follows:
Upon signing the contract between the Company and the Recruitment Agency "SunRecruit," 50% + VAT of the agreed amount is payable.
Upon hiring, the remaining 50% + VAT is payable.
If the Company requires at least 5 employees, "SunRecruit" offers a 50% discount on employee number 5.
Guarantee Period:
If the candidate leaves the position within 30 days from the start date, a replacement recruitment is offered at no extra cost.
If the candidate leaves within 30 to 60 days, a replacement recruitment is offered at only 25% of the agreed recruitment fee.
After 60 days, the recruitment process for the candidate is considered complete with SunRecruit.
Confidentiality
Both parties commit to handling confidential information, including candidate data and company details, with high security and in compliance with GDPR regulations.
Contract Duration and Termination
This contract enters into force on [Start Date] and remains valid until terminated by one of the parties with 15 days' written notice.
Termination Terms:
Standard termination without an ongoing recruitment process: This contract may be terminated by either party with 15 days' written notice. Termination takes effect after the notice period unless an ongoing recruitment process is in progress.
If the recruitment process has begun: If termination occurs while a candidate is being searched, screened, or interviewed, the Company commits to honoring the full payment for recruitment work completed up until the termination date.
If a candidate has already been presented: If a candidate was presented to the Company before termination, and the Company hires the candidate within 12 months after termination, the Company remains obligated to pay the agreed recruitment fee.
Protection of ongoing recruitment tasks: Any ongoing recruitment processes at the time of termination continue until the specific recruitment task is completed or the notice period expires unless otherwise agreed in writing between the parties.
Dispute Resolution
In the event of disagreements, the parties must first attempt to resolve the dispute through negotiation. If no solution is reached, disputes will be resolved in court.
Compliance with Law and Ethics
"Both parties agree to comply with applicable laws, including data protection and employment regulations, as well as ethical standards in recruitment. SunRecruit ensures that all candidates are treated fairly and respectfully in accordance with industry best practices."
Governing Law and Jurisdiction
This contract is subject to Spanish law, and any disputes will be settled in a court of law.
